1. Agreement to these Terms
By accessing or using the Service, creating an account, joining the waitlist, or clicking to accept these Terms, you agree to be bound by them. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal information and is incorporated into these Terms by reference.
2. The Service
Archilas provides infrastructure that distills conversation content into structured memory entries — including claims, commitments, signals, and related metadata — through our Skeleton, Vault, and Distiller architecture. The Service is accessed via:
- Website: archilas.com
- REST API: api.archilas.com
- MCP endpoint: mcp.archilas.com
- SDKs and integrations we make available from time to time
We may offer beta, preview, or waitlist features that are provided "as is" and may be modified or discontinued at any time.
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. You may not use the Service if you are barred under applicable export control, sanctions, or anti-corruption laws.
4. Accounts, API keys, and security
- You must provide accurate registration information and keep it current.
- You are responsible for all activity under your account and for safeguarding API keys, tokens, and credentials.
- Notify us promptly at hello@archilas.com if you suspect unauthorized access.
- We may suspend access to protect the Service, users, or third parties if we reasonably believe credentials are compromised or misuse is occurring.
5. Plans, billing, and taxes
5.1 Subscription tiers
- Free — €0/month. Up to 4 memory systems. MCP and API access. Community support.
- Pro — €19/month (or as stated at checkout). Unlimited memory systems, priority retrieval, advanced distillation, and email support.
- Enterprise — custom pricing. May include self-hosted deployment, SSO, audit logs, dedicated support, and custom SLAs under a separate order form.
5.2 Payment
Paid subscriptions are billed in advance on a recurring basis unless otherwise stated. Fees are non-refundable except where required by law or expressly stated in writing. You authorize us and our payment processors to charge applicable fees and taxes.
5.3 Changes
We may change plan features, usage limits, or pricing with at least 30 days' notice for material changes to paid plans. Continued use after the effective date constitutes acceptance, unless you cancel before the change takes effect.
6. Customer data and license
6.1 Your content
"Customer Data" means content, prompts, messages, identifiers, and other data you or your end users submit to the Service. You retain all rights in Customer Data. You represent and warrant that you have all rights, consents, and legal bases necessary to submit Customer Data and to instruct Archilas to process it.
6.2 License to Archilas
You grant Archilas a worldwide, non-exclusive license to host, copy, process, transmit, display, and otherwise use Customer Data solely to provide, maintain, secure, and improve the Service and as otherwise described in our Privacy Policy. This includes distilling Customer Data into structured memory entries and retrieving them on your behalf.
6.3 No training on Customer Data
Except as expressly agreed in writing, Archilas will not use Customer Data to train generalized AI models for unrelated third-party products.
6.4 Data processing
Where Archilas processes personal data on your behalf, you are the controller and Archilas is the processor. You agree to provide required notices and obtain required consents from data subjects. A DPA is available for Enterprise customers upon request.
7. Memory-specific responsibilities
Because Archilas stores structured memory used by autonomous agents, you acknowledge that:
- Retrieved memory may influence agent behavior; you are responsible for validating outputs in production use cases.
- Extraction confidence scores are probabilistic and not a guarantee of factual accuracy.
- You must configure access controls, user identifiers, and retention appropriate to your use case and regulatory obligations.
- You must not submit special category data (such as health, biometric, or children's data) unless you have a lawful basis, appropriate safeguards, and any required agreement with us.
8. Acceptable use
You agree not to, and not to permit others to:
- Use the Service for unlawful, harmful, fraudulent, or abusive purposes
- Violate intellectual property, privacy, or other third-party rights
- Access another customer's memory systems without authorization
- Probe, scan, or test vulnerabilities except with our prior written consent
- Circumvent rate limits, authentication, or usage restrictions
- Reverse engineer the Service except to the limited extent permitted by applicable law
- Transmit malware or interfere with the integrity or performance of the Service
- Resell or sublicense the Service except as expressly permitted in an Enterprise agreement
We may investigate violations and remove content or suspend accounts as reasonably necessary.
9. Third-party services
The Service may interoperate with third-party LLM providers, MCP clients, agent frameworks, and infrastructure. Archilas is not responsible for third-party services, and your use of them is subject to their terms. You are solely responsible for fees charged by third-party providers.
10. Intellectual property
Archilas and its licensors own the Service, software, documentation, trademarks, and all related intellectual property, excluding Customer Data. No rights are granted except as expressly stated. Feedback you provide may be used by us without restriction or compensation.
11. Confidentiality
Each party may receive confidential information from the other. The receiving party will use reasonable care to protect it and use it only for purposes of the relationship. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received from a third party without restriction.
12. Service availability and support
We strive for high availability but do not guarantee uninterrupted or error-free operation. Maintenance, upgrades, and incidents may cause temporary unavailability. Support levels depend on your plan. Enterprise customers may receive enhanced SLAs in a separate agreement.
13. Suspension and termination
13.1 By you
You may stop using the Service at any time and may cancel paid subscriptions through your account or by contacting us.
13.2 By us
We may suspend or terminate access immediately for material breach, non-payment, security risk, or legal requirement. We may discontinue the Service or any feature with reasonable notice where practicable.
13.3 Effect
Upon termination, your right to access the Service ends. We will delete or return Customer Data in accordance with our Privacy Policy and any applicable DPA, subject to legal retention requirements and backup cycles.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." ARCHILAS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT MEMORY RETRIEVAL WILL BE COMPLETE, ACCURATE, OR SUITABLE FOR EVERY USE CASE, OR THAT AGENT OUTPUTS WILL BE ERROR-FREE.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCHILAS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID TO ARCHILAS FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) €100.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
16. Indemnification
You will defend, indemnify, and hold harmless Archilas and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from Customer Data, your use of the Service, your violation of these Terms, or your violation of applicable law or third-party rights.
17. Export compliance
You agree to comply with all applicable export control and sanctions laws. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions, and are not on any government restricted-party list.
18. Governing law and disputes
These Terms are governed by the laws of Greece, without regard to conflict-of-law principles. Courts located in Greece have exclusive jurisdiction, except that consumers in the EEA may benefit from mandatory protections in their country of residence. Before filing a claim, the parties agree to attempt good-faith resolution by contacting hello@archilas.com.
19. Changes to these Terms
We may modify these Terms by posting an updated version and updating the "Last updated" date. Material changes to paid plans will be notified at least 30 days in advance where required. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service before the changes take effect.
20. General
- Entire agreement: These Terms, the Privacy Policy, and any order form or DPA constitute the entire agreement regarding the Service.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger or sale.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Force majeure: Neither party is liable for delays caused by events beyond reasonable control.
